These Terms of Service (“Terms”) govern your use of the websites, applications, and services (collectively, the “Services”) provided by Lyanna Labs LLC, a Florida limited liability company (“Lyanna Labs,” “we,” “us,” or “our”). By using MemoBox or this website, you agree to these Terms.

Using our Services

You may use our Services only in compliance with these Terms and all applicable laws. You agree not to misuse the Services — for example, by interfering with their operation, attempting to access them in any way other than the interfaces we provide, or using them to violate the rights of others.

Your account

MemoBox requires an account so your dates can sync across your devices. You’re responsible for keeping your credentials secure and for activity that happens under your account. Please notify us promptly of any unauthorized use.

Your content

You retain ownership of the dates, people, and notes you add to MemoBox. We claim no rights to your content. By using features that sync or share your content — such as cross-device sync or your calendar feed — you grant us the limited permissions needed to operate that feature on your behalf.

Purchases and subscriptions

MemoBox offers an optional paid subscription (“Pro”). The price, billing terms, and renewal details are shown at the time of purchase. Subscriptions are billed through the Apple App Store or Google Play and are subject to those stores’ terms; you can manage or cancel a subscription from your App Store or Google Play account settings. Payment is charged to your store account, and the subscription renews automatically unless canceled at least 24 hours before the end of the current period.

Software license

We grant you a personal, non-exclusive, non-transferable, revocable license to use the MemoBox app on devices you own or control, subject to these Terms and any platform-specific terms (such as the Apple Media Services Terms or the Google Play Terms of Service).

Intellectual property

The Services, including their design, code, and trademarks, are owned by Lyanna Labs and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

Holiday information

MemoBox provides information about holidays and observances from around the world for general, informational purposes. While we aim for accuracy, dates and customs vary by region and source, and we don’t warrant that this information is complete or error-free.

Disclaimer

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, to the maximum extent permitted by law. We don’t guarantee that the Services — including reminders and notifications — will be uninterrupted, timely, error-free, or meet every need, and you should not rely on them as your sole reminder for time-critical matters.

Limitation of liability

To the fullest extent permitted by law, Lyanna Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

Termination

You may stop using the Services at any time, and you can delete your account directly from within the app. We may suspend or terminate access if you materially violate these Terms or if we’re required to do so by law.

Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law principles. You and Lyanna Labs agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Florida, except where applicable consumer-protection laws grant you the right to bring proceedings in your country of residence.

Changes

We may update these Terms from time to time. If we make material changes, we’ll update the date at the top of this page and, where appropriate, notify you in-app or by email.
